Introduction
Nextyn Advisory Pvt. Ltd. (if you are located in India) or Nextyn Pte. Ltd. (if you are located outside India) (each as applicable, referred to as “Nextyn”, “we”, “our” or “us”) is built on trust, integrity, and the responsible exchange of knowledge. As a global leader in expert insights, we are committed to ensuring that every Interchange—whether through an Interchange, survey, written insight, or internal operations—is conducted ethically, professionally, and in compliance with all applicable laws and regulations. This Code of Conduct (“Code”) sets forth the ethical, legal, and operational expectations for everyone working with or through Nextyn, including employees, Experts, Consultants, Vendors and Clients.
If you are based in India, you will be registered with Nextyn Advisory Private Limited, a company incorporated under the laws of India, and if you are based outside India, you will be registered with Nextyn Pte. Ltd., a company incorporated under the laws of Singapore.
This Code forms an integral part of our broader compliance framework and must be read in conjunction with our Terms & Conditions and Privacy Policy and all statements, obligations, and definitions contained therein shall be deemed incorporated into this Code and shall apply with full force and effect. Together, these documents govern your participation in any Interchange through Nextyn and the handling of personal, professional, and confidential information throughout your Interchange with us.
1. Applicability
This Code applies to all individuals and entities affiliated with Nextyn, regardless of geography, status, or mode of Interchange. It governs behaviour across all interactions with clients, colleagues, partners, and external stakeholders. Compliance is mandatory for all Experts, internal teams, vendors and anyone representing or acting on behalf of Nextyn.
2. Confidentiality and Information Protection
All professionals must rigorously protect the confidentiality of any information obtained through their Interchange with Nextyn. This includes not only proprietary business information and Intellectual Property, but also the identity of clients, the nature of Interchanges, and any market-sensitive or Material Non-Public Information. Experts must never disclose confidential information belonging to their current or former employer, or that they are contractually or legally prohibited from sharing. Participation in any Interchange must be based on your ability to provide insights without violating confidentiality, employer obligations, or non-disclosure agreements. You must immediately cease participation and notify Nextyn if you are unsure whether continuing an Interchange may lead to a breach.
Information learned through a Nextyn Interchange must not be used for personal or professional gain, including securities trading, competitive intelligence, or reputation management. Experts may not post or share details of their involvement on social media or professional networking platforms. All information shared with or learned through Nextyn must be treated as confidential—even after an Interchange ends.
3. Legal and Regulatory Compliance
Nextyn requires full compliance with all applicable legal and regulatory obligations in every jurisdiction where we operate. This includes, but is not limited to, regulations related to insider trading, professional licensing, trade compliance, privacy, labor rights, anti-money laundering, healthcare, financial services, and government ethics. Experts must not offer legal, investment, or medical advice unless appropriately licensed and permitted. You must understand your own legal obligations, including those imposed by current or former employers or Governments, and avoid any participation that may conflict with them.
For Experts located in or connected to jurisdictions with heightened data or national security sensitivity—such as the People’s Republic of China—you are personally responsible for knowing and respecting relevant restrictions. You must not discuss or disclose non-public statistical, economic, regulatory, or national security-related information, as doing so may result in criminal or civil liability.
4. Anti-Bribery and Anti-Corruption
Nextyn adopts a zero-tolerance policy toward bribery and corruption. We do not allow, condone, or engage in offering, soliciting, or accepting bribes, kickbacks, facilitation payments, or improper incentives of any kind. This includes cash, gifts, travel, political contributions, or favours given with the intent of securing a commercial, contractual, or regulatory advantage. All business interactions must be conducted fairly and lawfully, and any attempt to influence a decision through improper means is a serious violation of this Code and may be subject to criminal prosecution.
You must never offer or accept anything that could be perceived as an inducement to influence a Nextyn Interchange or client outcome. Suspicious behaviour or attempts at bribery must be reported to our compliance team immediately.
5. Eligibility and Conflict of Interest Awareness
Before accepting an Interchange, Experts are expected to assess their eligibility and ensure that no actual or potential conflicts of interest exist. You must not participate in projects that would breach your contractual, ethical, or professional obligations—especially those to a current or recent employer, government body, or regulatory agency. If there is any uncertainty about your ability to engage, you are required to seek approval from relevant parties or abstain from participation.
Nextyn may also decline or suspend Interchange opportunities at its discretion if a participant’s involvement is deemed to pose a risk to client trust, legal exposure, or ethical standards. You are expected to self-monitor for conflicts and report any concerns before, during, or after participation.
6. Professionalism, Respect, and Conduct Standards
All interactions involving Nextyn must be carried out with the highest level of professionalism. We do not tolerate harassment, discrimination, aggressive behaviour, or any conduct that may be considered inappropriate in a business environment. Participants are expected to treat others with respect, regardless of race, ethnicity, national origin, religion, age, sexual orientation, gender identity, or disability. Hostile or derogatory language, verbal abuse, or misconduct in any form may result in immediate suspension or termination from our network.
We expect each individual to uphold personal integrity, honesty, and reliability in all communications and activities. Experts are also prohibited from making statements or commitments on behalf of Nextyn or our clients unless expressly authorized.
Clients and Experts must not directly or indirectly solicit, engage, or attempt to circumvent Nextyn by pursuing any relationship introduced through the platform outside of Nextyn.
7. Accuracy of Representation and Expertise
All individuals working with or through Nextyn must provide accurate, up-to-date information about their education, experience, professional history, and affiliations. You must not exaggerate your credentials or mislead clients about your knowledge or authority on a subject matter. Experts are expected to accept Interchanges only when they are truly qualified to speak on the proposed topic without any conflicts and with clarity, professionalism and depth. Misrepresentation, identity falsification, or acceptance of work outside your scope of competence is a violation of this Code.
Nextyn strictly prohibits the use of unauthorized assistance—including AI tools, bots, or large language models—to generate, assist, or review responses in survey or Interchange.
8. Integrity of Interchanges and Intellectual Property
Experts must only share their own original insights, opinions and/or ideas during client Interchanges. Plagiarism, data scraping, recycling of another Expert’s content, or infringement of third-party intellectual property is strictly prohibited. Any insights shared must reflect your own professional opinions formed independently, without reference to confidential or externally restricted materials. Experts may not quote, publish, or reproduce any content derived from an Interchange without explicit written permission from Nextyn. Clients and Experts should strictly refrain from asking and discussing confidential or proprietary or Material Non Public Information (MNPI).
9. Withdrawal and Reporting Obligations
Experts must be prepared to exit an Interchange immediately if they realize that continuing could lead to a conflict of interest, breach of confidentiality, or legal issue. Should such a situation arise, you must also inform the Nextyn Compliance team at compliance@nextyn.com without delay.
10. Monitoring, Compliance, and Training
Nextyn regularly reviews its compliance policies and expects full cooperation from all individuals during audits or investigations. Experts may be required to undergo compliance training, reaffirm ethical standards prior to Interchanges, or submit background or identity verification. All policies are subject to periodic updates to reflect legal developments and business model changes.
Failure to comply with this Code of Conduct may result in disciplinary action, including the termination of current or future Interchanges, removal from the Nextyn network, forfeiture of payments, or legal escalation where necessary.
11. Reporting and Non-Retaliation Policy
We encourage all individuals to report misconduct, unethical behavior, or suspected violations of this Code. Reports may be submitted confidentially to our Compliance or Legal team at complaince@nextyn.com. Retaliation against individuals who report concerns in good faith is strictly prohibited and itself constitutes a violation of this Code. Nextyn is committed to addressing all reports promptly, fairly, and discreetly.
12. Acknowledgment and Enforcement
By working with or through Nextyn, you acknowledge and agree to this Code of Conduct in full. You understand that adherence to these standards is a condition of your continued participation in our platform, and that violations may result in removal, contract cancellation, or other consequences. This Code complements any additional policies, terms, or contracts you may have with us, and in the case of a conflict, the more restrictive policy —as interpreted from Nextyn’s perspective—shall prevail.
This Code incorporates and is subject to Nextyn’s Terms and Conditions and Privacy Policy, which are hereby made part of this Agreement by reference.
